Solyndra investor sought tax breaks as bankruptcy loomed-filing

Oct 10 (Reuters) - Eight months before solar panel maker Solyndra filed for bankruptcy, the company's politically connected backer sought to hold on to lucrative tax breaks in the event the company went out of business, according to court documents.

The new information was revealed on Wednesday by the U.S. Internal Revenue Service, which filed an official objection to Solyndra's bankruptcy reorganization plan.

The failure of Solyndra, the company President Obama held up as an example of government backing for renewable energy jobs, is a political weapon for Republicans ahead of the November elections as they highlight energy policies more favorable to fossil fuels.

Solyndra filed for Chapter 11 protection from creditors on Sept. 6, 2011, as it and other solar panel companies were hurt by a flood of cheap imports from China that drove down prices.

The company has auctioned virtually everything from inventory, office equipment and real estate to repay its debts, but may prove unable to pay any of its unsecured creditors.

Solyndra's bankruptcy plan could prove a further embarrassment to the administration if it is seen rewarding risk-driven venture capitalists ahead of unsecured creditors such as suppliers and laid-off staff.

In its court filing on Wednesday, the IRS opposed Solyndra's plan. If approved by creditors, a holding company would emerge from bankruptcy with no employees or business operations - but as much as $350 million in tax breaks that could be used by Solyndra's investors, including Argonaut Ventures.

Argonaut is the investment arm of a foundation tied to the Democratic fundraiser, Oklahoma billionaire George Kaiser. Most of the tax breaks would come in the form of Net Operating Losses (NOLs) which could be used to offset future taxable income.

Meanwhile, under the bankruptcy plan Solyndra's creditors would receive pennies on the dollar, the IRS said, adding that the principal purpose of the plan is "tax avoidance."

A Solyndra spokeswoman said the company would file responsive papers but otherwise declined to comment.

The company filed for bankruptcy in September 2011, but its investors feared a potential liquidation as early as December 2010 if it could not convince the Department of Energy to release additional loans for the company, according to the IRS filing.

The IRS cited emails from Kaiser to one of the venture firm's managing directors.

"I would go a long way to preserve the NOLs," Kaiser wrote in December 2010.

As Argonaut, Solyndra and its tax professionals worked to determine the amount of tax breaks available to Solyndra, the company's chief financial officer was advised to delay a particular transaction which would have reduced the available NOLs by $100 million, the court filing said.

A representative for Kaiser could not immediately be reached.

Solyndra has said in recent court filings it may not be able to repay any of the $528 million that the U.S. government had lent in 2009 to promote clean energy businesses.

Republicans have seized on Solyndra's failure to accuse the White House of rushing the $528 million loan in part to help the venture capital backers. The Obama administration has said the loan was based on the merits of Solyndra's business prospects.

Mammoth Lakes, California mulls post-bankruptcy cuts

SAN FRANCISCO Oct 10 (Reuters) - Mammoth Lakes, California could slash its police force to help bolster its post-bankruptcy finances, an official with the resort town in the state's Sierra Nevada Mountains said on Wednesday.

One cost-cutting option the city of 8,000 residents is considering as it prepares to ask for its Chapter 9 bankruptcy case to be dismissed is to lay off seven police officers, Assistant Town Manager Marianna Marysheva-Martinez told Reuters by telephone.

Mammoth Lakes spends about a quarter of its $16 million annual budget on its police department, Marysheva-Martinez said.

The cuts would leave Mammoth Lakes' police department with 10 sworn officers and three civilian employees. Savings would help the city as it will pay $2 million annually as part of $29.5 million settlement agreement with a property developer.

The developer had been awarded a $43 million judgment against the city over a property dispute. Saying it could not afford the judgment, Mammoth Lakes became the second city in the most populous U.S. state to file for Chapter protection from its creditors this year.

Marysheva-Martinez said residents of Mammoth Lakes will be surveyed on layoffs and other measures the city could take to shore up its finances, adding that the city later this month will begin the process of asking the judge hearing its bankruptcy case to dismiss it.

Mammoth Lakes followed on the heels of Stockton, a city of nearly 300,000 residents in California's Central Valley, in filing for bankruptcy. San Bernardino, a city of 210,000 residents east of Los Angeles, was the third California city to file for Chapter 9 protection this year and Atwater, a Central Valley city of 28,000, is contemplating a bankruptcy filing.

Atwater's city council last week approved a fiscal emergency measure that it may use to put the city on a fast-track to a Chapter 9 bankruptcy filing. Atwater's leaders are also looking into options for increasing revenue while clamping down on costs, which could include layoffs, while considering whether to pursue a bankruptcy filing.

Analysts in the $3.7 trillion U.S. municipal debt market are keeping a close eye on local government finances in California out of concern that some cites could use fiscal emergency declarations as a way to speed Chapter 9 filings in attempts to shed financial obligations.

A Moody's Investors Service report released on Tuesday said California's three municipal bankruptcy filings "demonstrate that the willingness of some cities to continue to cut costs and associated municipal services to pay debt obligations may be eroding."

BRASILIA/SAO PAULO, Oct 5 (Reuters) - CPFL Energia , Brazil's largest private sector electricity distributor, asked for financial and operating information about Celtins, a smaller rival that was recently seized by regulators and could be put up for sale, Celtins' administrator said on Friday.

Itaú BBA, the investment banking unit of Itaú Unibanco Holding, requested the information at the behest of CPFL, said Isaac Averbuch, the official overseeing the seizure of Celtins. Celtins is controlled by Grupo Rede Energia , which saw eight units taken over by regulators about a month ago.

CPFL also asked for information about other Rede Energia companies, Averbuch said, without giving out details. Currently Celtins is in talks with creditors InterAmerican Development Bank and Banco Santander Brasil to stretch out payment terms on 192 million reais ($95 million), he added.

"We sense there's willingness on their part," Averbuch said, referring to Celtins' creditors. He also said other groups including J&F, an investment holding company owned by the family that controls meatpacker JBS, have shown interest in assets of Rede Energia.

Electricity regulator Aneel seized Celtins on Aug. 31, marking the strongest ever state intervention in the sector to prevent a halt in service in six states. Aneel took over control of Celtins, Cemat, Enersul, CFLO, Caiuá, Bragantina, Vale Paranapanema and Nacional, all of which were suffering from serious financial and operational problems.

Rede Energia's assets have been considered a takeover target as the government and private companies boost their market share in power distribution, a segment in which bigger scale offsets the risk of lower power rates in coming years. Consolidation is key for the companies, known as DisCos, to gain financial and operating muscle.

CPFL declined to comment. Itaú BBA did not have an immediate comment on the matter. Efforts to reach a spokesperson for Rede Energia were unsuccessful.

UPDATE 1-American Air says seats fixed on most 757s needing repair

Oct 5 (Reuters) - American Airlines said on Friday it had repaired seat locks on 42 of 48 Boeing 757 jets after some seats came loose during flights this week.

The AMR unit, which filed for bankruptcy protection last year, said all 48 of its 757 jets that were to get the seat adjustments would be back in service by Saturday.

The carrier had canceled 94 flights over Thursday and Friday to improve the locking mechanisms used to secure seats to aircraft floors.

"We have identified the issue and our maintenance teams are securing an FAA (Federal Aviation Administration)-approved locking mechanism to make sure no seat can be dislodged," American spokeswoman Andrea Huguely said in a statement.

In recent days, three separate incidents occurred in which seats on American Airlines flights came unbolted from the floor, prompting an investigation by the FAA and jet inspections. American said an internal probe showed that improperly installed clamps had caused seats to loosen in six aircraft.

Fort Worth, Texas-based American Airlines has just over 100 757 planes, but only 48 use the seat model that has caused problems.

American Airlines and its pilots union resumed contract talks on Wednesday, but other problems continued at the bankrupt carrier this week.

A cockpit warning light caused an American flight to return to an airport shortly after takeoff on Tuesday, while a court said a union-organizing drive at the airline could go forward and flight delays brought more customer complaints.

RIO DE JANEIRO, Oct 6 (Reuters) - Brazilian banks have room to cut consumer lending rates in half, Brazil's Finance Minister Guido Mantega said in remarks published on Saturday in the O Globo newspaper.

Banks are overestimating default risk and the government intends to keep up pressure on banks to lower rates, the paper quoted Mantega as saying.

Average rates of 40 percent to 50 percent a year make no sense in an economy in which inflation is 4.5 percent to 5 percent a year, the minister told Globo.

"Workers are in more formal working environments and can prove their earning capacity, homes are becoming more stable and risk in the Brazilian economy is lower than in many advanced economies," Mantega told the newspaper. "It doesn't make any sense to charge excessively high interest rates."

Brazil's central bank cut the country's benchmark interest rate, long one of the world's highest, to 7.5 percent in September from 12.5 percent in July 2011. In the past 11 years, Brazil's average interest rate has been 14.72 percent.

The government has also been pushing banks to cut rates by forcing state-controlled Banco do Brasil SA and Caixa Economica Federal to cut their finance charges and banking fees.

Non-state banks such as Banco Bradesco SA, Itau Unibanco Holding SA and foreign banks such as Citigroup Inc. and Banco Santander SA have been quietly resisting the pressure.

Banks have argued that the government requirement that they make large compulsory deposits with the central bank in an effort to help control inflation reduces cash available for consumer credit and lower rates.

Financial institutions also blame high consumer default rates, a lack of credit databases and the government's large borrowing needs as factors that squeeze credit for consumers and keep rates high.

Mantega told Globo he is not convinced by the banks' arguments.

"The financial sector at times accuses us over the compulsory deposits, but if you look what weighs heavily, it's the projection they have for bad debt," Mantega told Globo. "They tend to overestimate bad debt. It's necessary to update these calculations for today, for a country that is more solid and credit that is more secure."

As part of efforts to push rates lower, the government is working to increase consumer knowledge of finance costs and charges and is requiring merchants and bankers to make their rates and charges clearer, the paper said, citing Mantega.

Annual consumer finance charges range from 8.99 percent a year to 603 percent a year, Mantega said.
